Sequential Brands Group Signs Definitive Agreement to Acquire GAIAM Yoga Brand

Sequential Brands Group, Inc. announced on May 10, 2016 that it has signed a definitive agreement to acquire the branded consumer product business from GAIAM, Inc. for a total purchase price of approximately $146 million in cash.

As part of the transaction, Sequential will acquire GAIAM's yoga, fitness and wellness product business - which includes the GAIAM and SPRI brands - with expansive distribution through Amazon, Kohl's, Target, and Bed Bath & Beyond, among other leading retailers and e-commerce channels in the U.S. and abroad.  This bolt-on acquisition will seamlessly integrate into Sequential's Active Division, which is currently anchored by the AND1 and AVIA brands.

In tandem with the acquisition, Sequential signed long-term licensing agreements for the brands' core categories, which will become effective upon closing.  Fit For Life will be the licensing partner for the hard goods and equipment categories as well as the digital properties, and High Life will be the licensing partner for GAIAM's yoga and athleisure apparel business.

Eddie Esses, Active Division President at Sequential, added, "Studies show that over 35 million people in the U.S. practice yoga today, up 76% in the past 4 years, and another 80 million aspire to practice yoga. By acquiring one of the leading brands in yoga, fitness and wellness, the opportunities are vast as we think about gaining market share, adding new distribution and expanding globally."

Karma Yoga Collection

When Nasim Tyab launched his Karma activewear brand in 2002, his goal was to “capture the spirit, beauty and athleticism of yoga” in a clothing collection designed specifically for practitioners of Bikram yoga, the form of yoga practiced in high-heat and high-humidity environments.

Nearly a decade later, the Vancouver, Canada–based company is taking the brand in a new direction with yoga apparel that can transition in and out of the yoga or dance studio.

“Karma is fashion and movement-inspired clothing, created to redefine what movement apparel is,” Tyab said. “Our clothing is thoughtfully designed for movement, contoured to highlight the feminine shape and enhance what makes women beautiful.”

Each collection reinterprets aspects of nature, photography or film, creating new seamless looks—printed pants for appearance, sheer cut-outs and lightweight legging styles for ventilation and technique, as well as built-in bras for support and loose fits for movability.

The Spring/Summer 2016 collection, titled “We Are the Champions,” is inspired by the strength of a modern woman.

Teeki Activewear Upcycles

Featured on CBS Los Angeles, Teeki Activewear has been the talk of the town. As a young girl, Lindsay Hemric was an athlete and also involved in cleaning the Earth. She had a hard time finding eco-conscious brands that she could practice in. Usually we throw our water bottles into recycle bins and never really think about what happens after.

Lindsay Hemric collects those water bottles, upcycles them and turns them into amazing Yoga clothing.  Her mission is to make women feel beautiful, fun and vibrant, her brand is manufactured in LA. In which the water bottles are down into tiny cubes, melted into honey and then made into yarn. This process saves 90% of water usage typically used to make fabric.

Her Yoga pants came about when she was making a bikini and didn’t have a pair of pants to wear to a Yoga class, so she made her own pair which soon took off. The pants are quick dry, breathable and perfect for a Yoga class. The process took about six months, to get the right fit and perfect pattern, she plans to make other pieces and grow the Teeki brand.
