Menswear Boardroom Battle Between Fine Clothiers

The Men's Wearhouse today announced that it has proposed to acquire all of the outstanding shares of Jos. A. Bank Clothiers common stock.  The interesting part of this story is the fact that Jos. A. Bank Clothiers recently attempted to take over the Men’s Wearhouse.  It appears as if this menswear retailer does not plan to go down without a fight.

The Men's Wearhouse proposal represents a 45% premium over Jos. A. Bank's unaffected enterprise value and a 32% premium over Jos. A. Bank's closing share price on October 8, 2013, the day prior to the public announcement of Jos. A. Bank's proposal to acquire Men's Wearhouse.  

"Following Jos. A. Bank's unsolicited public proposal to acquire Men's Wearhouse, our Board of Directors evaluated a number of alternatives to deliver value to our shareholders," said Bill Sechrest, Lead Director of the Board of Men's Wearhouse.  "After a thorough review, our Board concluded that an acquisition of Jos. A. Bank by Men's Wearhouse has strategic logic and the potential to deliver substantial benefits to our respective shareholders, employees and customers.  In reaching our determination, we considered a number of factors including Men's Wearhouse's advantage in scale, growth and performance, long history as a prudent steward of capital, successful acquisition track record and experienced management team.  We believe we are the right acquiror for this combination and that our experienced management team is best positioned to execute the integration of our companies and achieve the synergies that would result.  We are ready to engage with the Jos. A. Bank's Board immediately." 
Doug Ewert, President and Chief Executive Officer of Men's Wearhouse, said, "Our compelling proposal provides Jos. A. Bank's shareholders with a substantial premium and immediate liquidity for their investment.  The transaction will be substantially accretive to Men's Wearhouse's earnings in year one, and the combined company will have a strong balance sheet with the operational flexibility to successfully execute on its strategic plan.  Together, we can create the premier men's apparel retailer, with enhanced scale and a broader best-in-class offering for our valued customers, which we expect to drive significant shareholder value."

Toren Technical Apparel

Move over Patagonia, The North Face and Arc'teryx, and make room for Toren! Toren, a new fashionable brand of stylish, affordable and accessible technical apparel for men and women is planning its debut in the spring of 2014. The brand was created to provide a high quality, reasonably priced alternative for consumers with an active outdoor lifestyle.  Notably, Toren is employing the unique approach of soliciting consumer input on product design and features via its blog, social media channels and website, www.toren.is. 


Entrepreneur Ethan Wishnick, founder and creator of Toren, wants to engage his customer base pre-product launch to learn specifically what they want in technical apparel. "We want to know what pieces consumers are looking for. We're interested in what styles and colors are most appealing and what features are most important," he said. "Our goal is to listen and respond to create innovative new products with the features and look consumers want, all at a more affordable price point."


Toren's initial offering, the Fundamental Shell, is designed to look great and function equally well in the city or on the mountain. The shell will feature a more tailored fit than many of the products currently offered by competitors and integrate three-layer, waterproof/breathable fabric produced by Toray, a leading manufacturer of high performance textiles. Following the launch, Toren plans on producing technical apparel for all seasons, including pieces like insulated hard-shells and wetsuits.

Wishnick, an outdoor enthusiast who currently resides in Manhattan, was inspired to create Toren after years of frustration with the fit and high cost of technical garments.

"We have received tremendous feedback on our designs. We're confident our quality will be equivalent to our higher priced competitors, as we are using many of the same suppliers," said Wishnick. "Our e-commerce distribution model differentiates us from other technical apparel brands. By operating online, we can interact with our customers in real time to make them a part of our process, while eliminating overhead costs that inflate retail prices."

Angela Lindvall is an American model and occasional actress. She has appeared in several films including Kiss Kiss Bang Bang in 2005. She was the host of the fashion reality series "Project Runway: All Stars", an extension of the popular series "Project Runway".  Lindvall is an ardent environmentalist and is the founder and president of the Collage Foundation, an organization promoting sustainability and environmentally conscious choices among young people. She was named "Best Dressed Environmentalist" in 2004 and 2005 by the Sustainable Style Foundation.

Nikki Reed Hosts The Baja Animal Sanctuary Charity Event

Nikki Reed and fellow Hollywood animal enthusiasts gathered at the 1st annual "Friends Across The Border" charity event last night at NINE ZERO ONE Salon in West Hollywood to raise money for the Baja Animal Sanctuary, northern Mexico's only no-kill animal shelter! Other celebrity attendees included socialite Cara Santana and radio personality Kyle Keller, along with other prominent Hollywood animal supporters. Guests indulged in gluten-free catering from cibo verde and beverages by Caliche Rum as they celebrated the wonderful work done by the Baja Animal Sanctuary and its founder Sunny Benedict.

About Baja Animal Sanctuary:

The Baja Animal Sanctuary is located in Rosarito, Mexico, just 23 miles south of the San Ysidro border. The sanctuary was founded in 1997 by Sunny Benedict, a native New Yorker, who was working in real estate in Rosarito. From her office window, Sunny would see the local animals, mangy and starving roaming the streets in search of anyone who might toss them a morsel of food, or give them a kind pat on the head. She knew she had to do something. With a mere $180 she gathered from friends, she turned her dream into reality and started the Baja Animal Sanctuary. BAS, the only no-kill shelter in northern Mexico provides a safe haven for dogs and cats rescued from the streets of Rosarito and surrounding areas. Once at BAS, they receive food, medical care, and love for as long as they are there. Once the puppies are old enough, or the sick ones are well enough, they are spayed/neutered and vaccinated. The ultimate goal is to find each and every adoptable animal at BAS a forever home. When this can't be accomplished, since it is a no-kill shelter, the animals that are "un-adoptable" will make BAS their permanent home. In some extreme cases, untreatable dogs and cats are euthanized to put an end to their pain and/or suffering. In 2012 BAS placed 276 dogs and 42 cats in loving homes throughout the United States. Presently, the Sanctuary is home to over 400 dogs and cats combined. The Baja Animal Sanctuary was officially incorporated in the year 2000. BAS is recognized by the IRS as a 501(c)(3), not-for profit corporation, qualified to receives no assistance from the Mexican government. Jennifer Humiston Dress Collection Launch

Inspired by fashion icons ranging from Lauren Hutton, Bridget Bardot to Alexa Chung and Harley Viera Newton, Jennifer Humiston created an eponymous dress collection that defies trends and transcends time, just like her muses. The line will be available on the week of November 25 at select boutiques and online.





Launching for Holiday 2013, the Jennifer Humiston collection combines modern elegance and simplicity with luxurious fabrics and beautiful craftsmanship.  A fan of fashion from a young age, Humiston was most drawn to the iconic fashions of the past that she would see in the movies and as she delved into her studies as an Art History major at USC, Humiston observed a tremendous crossover between art and fashion as means of expression. She learned very early on that understanding art from the past could translate to the present and be completely relevant. Combining her studies with her passion, she applied principles of line, color, and form to create clothes that could allow the wearer to say something about herself. "I wanted to present that memorable well-crafted piece that women like me could base an outfit around; that classic garment that can be layered with scarves,  jewelry, accessories, and shoes to really reflect each and every fashionista's individuality in their own personal way," Humiston says. 

Consisting of five styles, each dress gives Humiston's consumer a finely crafted garment with timeless appeal. For the ultimate trendsetter look, try the Alexa as its cobalt blue silk crepe de chine with softly gathered skirt is contrasted by black silk crepe de chine long princess sleeves, and accented by black silk charmeuse neckline. Be classy in the Chanel-inspired Jenny dress made of soft ivory "Linton Tweed" with subtle flecks of shimmering white. The dropped waist gives way to a softly pleated skirt with ivory silk charmeuse piping accents at the drop waist, jewel neckline and sleeveless arm holes.  For a more laid back look, slip on the Maria- a casually-draped navy blue cotton bodice with long sleeves and a classic drop waist skirt of gently gathered aqua silk. For that cocktail chic attire, dress up in the Kathryn - available in ruby or black tweed with subtle flecks of shimmering silver; the classically-tailored piece has extended capped shoulders rising from the squared neckline that gradually plunge down the back to the waist. Lastly, don Jennifer Humiston's elegant hero piece, the Elizabeth-a sophisticated gown designed with midnight navy silk crepe de chine with a classic dropped waist to softly gathered midnight navy and black iridescent silk chiffon.

Made in America, every dress is created by professional seamstresses, giving Humiston complete control over the entire design process.  "Not only can I insure the working conditions of my employees, I can make any necessary changes as the dress is being sewn or cut, encouraging constant evolution of my designs. I can redefine each style with new fabrics and colorways as often as I want, and I take pride in constantly reinventing my staple pieces so each and every girl can feel unique in the piece she is wearing," Humiston says.  The line will be available on the week of November 25 at select boutiques and online (Prices will Range from $295 to $425, www.jenniferhumiston.com).

2013 PRIZE LIST

The Aiguille d’Or goes to Girard-Perregaux

The jury of the 13th Grand Prix d’Horlogerie de Genève (GPHG) unveiled its prize list on the evening of Friday November 15th 2013.  The prize-giving ceremony, presented by Frédéric Beigbeder, took place in the Grand Théâtre de Genève in the presence of the President of the Swiss Confederation, Mr Ueli Maurer. 1’500 guests, all influential stakeholders in the fields of watchmaking, politics and the economy, congregated on this occasion to celebrate the excellence and creativity of the 12th art.

15 prizes honoured the year’s finest watch creations, including the supreme distinction, the “Aiguille d’Or”, which was awarded to Girard-Perregaux for the Constant Escapement L.M watch.

The prestigious international jury of this 13th GPHG brought together the skills of watch experts, collectors and authoritative figures in their respective fields, who were called on-stage in turn to announce the winners of the various prizes. Notably, designer Philippe Starck, indian jeweller Viren Baghat, architect Jean-Michel Wilmotte, all keen watchmaking enthusiasts, officially presented the trophies to the CEOs of the prize-winning brands.

The public, which had expressed its views on the Internet and during the exhibitions, chose the winner of the :

Organised as a live link-up broadcast with New York and simultaneously translated into English for enthusiasts around the world, the ceremony was streamed live on Euronews.com, Worldtempus.com and on the official GPHG website, Gphg.org.
A highlight of the international watch industry calendar, the Geneva Watchmaking Grand Prix is a yearly salute to the excellence of global watch production and thereby contributes to promoting the influence of watchmaking and its values around the world. These values are shared by the main partner of the GPHG Foundation, the Edmond de Rothschild group, which has since 2011 annually rewarded the best student at the Geneva Watchmaking School by granting a scholarship.

This year, the travelling exhibition presenting the watches pre-selected by the jury featured stopovers in Beijing, Macau, Dubai and Geneva. To conclude this 13th edition, the prize-winning watches in the various categories will be on show from November 21st to 28th at L’atelier by the Hour Glass, in Singapore.

Girard-Perregaux remporte l’Aiguille d’Or

Le jury du 13e Grand Prix d’Horlogerie de Genève (GPHG) a dévoilé son palmarès ce vendredi 15 novembre 2013. La cérémonie de remise des prix, présentée par Frédéric Beigbeder, s’est déroulée au Grand Théâtre de Genève, en présence du président de la Confédération suisse, Monsieur Ueli Maurer. Mille cinq cent invités, acteurs influents des univers horloger, politique et économique, se sont rassemblés à cette occasion pour célébrer l’excellence et la créativité du 12ème art.
Quinze prix sont venus distinguer les meilleures créations horlogères de l’année, dont l’Aiguille d’Or, récompense suprême, qui a été décernée à Girard-Perregaux pour la montre Echappement Constant L.M.

« Remporter lAiguille dOr ce soir m’émeut profondément. Je lie ce succès au travail, à la passion et à lamour que mon équipe témoigne à lart horloger » a déclaré Monsieur Michele Sofisti, CEO de Girard-Perregaux.

Prestigieux et international, le jury de cette 13e édition du GPHG, réunissait les compétences d’experts en horlogerie, de collectionneurs et de personnalités faisant autorité dans leurs domaines, appelés tour à tour sur scène pour annoncer les gagnants des différents prix. Ainsi, le créateur Philippe Starck, le joailler Viren Bhagat et l’architecte Jean-Michel Wilmotte, tous amateurs d’horlogerie, ont notamment remis sur scène les trophées aux CEOs des marques lauréates.

Temps fort du calendrier horloger international, le Grand Prix d’Horlogerie de Genève vient saluer chaque année l’excellence des productions horlogères mondiales et contribue ainsi au rayonnement de l’horlogerie et de ses valeurs de par le monde. Des valeurs partagées par le partenaire principal de la Fondation du GPHG, le groupe Edmond de Rothschild, qui récompense depuis 2011 le meilleur jeune élève de l’école d’horlogerie de Genève en lui remettant une bourse d’étude.
