Why American Apparel Filed Chapter 11

Question: Why did American Apparel file Chapter 11?

Answer: Because they earned less than they spent.


If you want a more specific answer, maybe you would like one from the following two choices:

  1. It is almost impossible to successfully make a profit selling commodity clothing that is made in the United States (and please don't try to say that American Apparel is a popular brand name which makes it more than simply a commodity item).
  2. They moved from "manufacturing and wholesaling" to "manufacturing, wholesaling, AND retailing".
Did this all happen because Dov Charney was ordered to chill out?  My guess is the debt & decision making that led to the troubles was already in place prior to all the nonsense that has been going back & forth with company management.

American Apparel, and certain of its domestic subsidiaries have voluntarily filed to reorganize under Chapter 11 of the U.S. Bankruptcy Code in the U.S. Bankruptcy Court for the District of Delaware (the "Bankruptcy Court"). The Company expects to complete the restructuring within approximately six months.

American Apparel, Inc., announced today October 5, 2015 that it has reached a restructuring support agreement with 95% of its secured lenders to implement a pre-arranged financial restructuring.  This reorganization will enable the Company to implement a comprehensive transformation strategy to revitalize the business and brand, while keeping its production and operations in the U.S. Throughout the implementation of this process, American Apparel will continue to operate its business without interruption to customers, employees and vendors.  As you know American Apparel is a vertically-integrated manufacturer, distributor, and retailer of branded fashion-basic apparel.  The restructuring will hopefully help them get their business back on track.

The restructuring support agreement, which has been approved by the Company's board of directors, will substantially reduce the Company's debt and interest payments through the elimination of over $200 million of its bonds in exchange for equity interests in the reorganized Company, and provide the Company with access to financing during and after its restructuring.

American Apparel Reaches Agreement with Lenders to Significantly Reduce its Debt and Interest Payments.

Below are a few key points:
  • American Apparel plans to recapitalize through consensual pre-arranged Chapter 11 reorganization
  • Retail stores, wholesale and U.S. manufacturing operations to continue without interruption; international stores not affected
  • Pre-arranged agreement with 95% of secured lenders will strengthen balance sheet
  • Lenders will provide the company with additional liquidity to ensure financial stability throughout the reorganization process
  • Reorganization enables the implementation of the Company's transformation strategy to revitalize brand
Paula Schneider, American Apparel's Chief Executive Officer, commented, "This restructuring will enable American Apparel to become a stronger, more vibrant company. By improving our financial footing, we will be able to refocus our business efforts on the execution of our turnaround strategy as we look to create new and relevant products, launch new design and merchandising initiatives, invest in new stores, grow our e-commerce business, and create captivating new marketing campaigns that will help drive our business forward."
Under the restructuring support agreement, American Apparel's secured lenders will provide approximately $90 million in debtor-in-possession (DIP) financing. These supporting creditors have committed $70 million of new capital to support the reorganization and recapitalization of the business. The Company anticipates that such financing will be more than sufficient to fund its ongoing operations and pave the way for a successful reorganization. As a result of the reorganization, American Apparel's debt will be reduced from $300 million to no more than $135 million, and annual interest expense will decrease by $20 million.

American Apparel has filed with the Bankruptcy Court and expects to obtain approval for various customary motions for immediate relief to allow the Company to make certain necessary payments to employees and suppliers that will permit it to continue operating without interruption during the initial phase of the restructuring. The Company will pay all of its suppliers in full under normal terms for goods and services provided on or after the filing date of October 5, 2015. American Apparel's international operations are not affected by the reorganization in the U.S.

As of September 30, 2015, the Company had approximately 9,000 employees and operated 227 retail stores in 19 countries including the United States and Canada. The Company also operates a global e-commerce site that serves over 50 countries worldwide at http://www.americanapparel.com. In addition, the Company operates a leading wholesale business that supplies high-quality T-shirts and other casual wear to distributors and screen printers.
American Apparel's legal advisor in connection with the restructuring is Jones Day. FTI Consulting serves as its restructuring advisor and Moelis & Company serves as its investment banker for the restructuring.

The restructuring plan is subject to satisfaction of certain customary conditions, including approvals by the Bankruptcy Court. If the restructuring transactions contemplated by the restructuring support agreement are consummated, the Company's existing common stock will be extinguished and the holders of the common stock will not receive any consideration, consistent with legal priorities.

Surfing the Fashion Wave

With so many different brands, styles, and designs of beachwear, the options are endless. While most think of the beach when considering surfer fashion, the beach-bum qualities that make the look can be part of all aspects of your wardrobe and lifestyle. 

Surfing gear for in the water should allow you to stay comfortable, warm, and rash-free. While out of the water, you should express a relaxed, chic, and bohemian style. 

Water Attire

The original men’s swimwear, swim trunks are still the most common men’s swimwear in North America. Since the 1930s, swim trunks began showing up on their own, without the top portion of a bathing suit. They're more likely to be shorter than board shorts, looser, and made from nylon, cotton, or polyester. They may be clingier than a board short, depending on the type and cut of the short. Usually, swim trunks are more water absorbent, sport an elastic waistband, and may or may not have a lace-up fly.

Because of the elastic band and the targeted demographic of adult, middle-aged and older men, swim trunks might be more comfortable and practical for your unique needs. You also may not be a fan of the length of board shorts, or where they sit on the hip (a bit lower because the hips hold them up; there is no elastic).

Board Shorts


Board shorts are a newer subset of men's swimwear that arose from the rising surf culture. Their name reflects their practical use for surfing, even referencing the surfboard. They're very quick to dry and don't get too baggy from holding excess water, due their polyester or nylon material. Usually longer than swim trunks, hitting just at the knee, a little above or a little below, they are very durable despite being lightweight. Board shorts typically have a lace-up fly in addition to a Velcro fly under that. In many cases, they have at least one side pocket.

Board shorts have a more youthful, sportier look and feel, and have become more popular in the current culture. Most designers and clothing companies create board shorts, as opposed to swim trunks, so the designs and patterns are more stylistically relevant. When buying surf shorts, whether board shorts or swim trunks, the most important features to consider are quick-drying, lightweight, durability, staying on the waist, pockets, and desired length.

Many female surfers have also taken to wearing board shorts. Typically shorter than their male counterparts, female board shorts provide more comfort and less likelihood of losing your bottoms after a gnarly wipeout. Like bikini bottoms, the mix-and-match appeals to ladies, as you can choose to pair a different top with different bottoms. 

Bikinis

The bikinis you wear to the pool or laze in on the beach are very different from your surf bikini. A surf bikini must be more practical, should look for full coverage, and consider other big factors like sun exposure and fitting under a wetsuit or board shorts.
Women's Surfer Tops

Surfer bikini tops should fit comfortably and cover your chest fully. Water will move the top around, and the last thing you want is to fall out or need to adjust when riding a wave. The best option is either a sports bra style or triangle cut top. Avoid underwires, as, when you are paddling, they can poke and prod you. The straps should be fitted enough that they will not slide down your shoulders at all. 

For bikini bottoms that you wear under board shorts or a wetsuit, consider a skimpier pair, even if you would never wear one like that on the beach, Anything with more fabric than a G-string or Brazilian cut will result in incredibly uncomfortable rolls of fabric that you will not be able to stop tugging at. You will be infinitely more comfortable if you consider wearing bottoms under the board shorts to prevent chafing or a rash. 

When you want to surf in a bikini bottom, rather than shorts, there are a few things to consider. If you are surfing during the day, you have to do the sunscreen versus coverage debate. A small surf bikini bottom means you must use sunscreen or risk being burnt and have the possibility of skin cancer. A problem with sunscreen and surfing is that when you sit on your board to watch for waves, you will rub a nice little layer of sunscreen all over. This can lead to a slippery board, and a much more difficult time getting up on the wave. 

Rash Guards

The most important factor for any surf attire is surf safety. Rash guards are one form to practice surf safety, as they protect the wearer against rashes caused by abrasion, or by sunburn from extended exposure to the sun. Typically, rash guards are worn by themselves over tops, or under a wetsuit. However, there are also lower body rash guards that look similar to compression shorts, which can be worn under surfers’ boardshorts or swim trunks. 

Typically worn when the weather is too warm for a wetsuit, "rashies" also prevent wax-based chafing when sliding on and off of the surfboard. Rash guards can offer slight protection from jellyfish stings, making them a great addition, due to the many dangers found while surfing.

To create the ultimate surfer persona, there are a few lessons and tips to consider:

  1. Layer-Up. Throughout the day, your body temperature will fluctuate due to the water temperature, air temperature, chill factor, and wetness. Consider layering tanks and tees under hoodies and flannels.
  2. Mix and Match. Don’t be too worried about matching every color; instead consider a couple of different colors and shades, while keeping the same undertones.
  3. Casual and Cool. Keep the comfortable vibe throughout, with baggier fitted attire and easy to slide-on shoes, such as sandals or surfers.
  4. Standout Socks. Every surfer needs a pair of funky patterned socks to add a bit of an extra flair for the relaxed and carefree style.
  5. Accessorize. Consider adding some cool shades, a chic beanie or hat, and other accessories to complete the ultimate cool dude look. 
Women

Ladies have a multitude of options to wear on the boardwalk, at the beach, or just casually strolling through town. Here are a few ideas to create the ultra-bohemian style surfer girl look: 
  1. Patterns. Consider a patterned dress or romper to slide over your bikini post surf session for an easy, classic look.
  2. Graphic Tees and Tanks. The slogan tee or free flowing tank should be a part of any beach babe collection to make a splashy statement.
  3. Sexy Shorts. Most places won’t allow you to wear your bikini bottoms without something covering them up, so consider sexy patterned short shorts or the cute crochet short to cover up.
  4. Eye-Catching Cover-ups. Cover-ups can be another quick and easy fix to throw on over any swimsuit for a quick run to the snack shack or to avoid the glaring rays of the sun.
     
  5. Sunglasses. From aviators to sporty to oversized, don’t leave home without a pair of fashionable sunglasses to protect your eyes.

Dreadlocks, Weed, Patchouli Fashion Police

What the heck is going on at the Fashion Police show?  Sure, momma Joan is no longer with us to keep the kids in check, but who would have expected them to get this out of control.

On February 23, 2015 comments had been made referencing the dreadlocked hairstyle that Zendaya wore to the Oscars.  The comments Giuliana made was essentially that the Zendaya's hair (dreadlocks) suggested the possible smell of patchouli oil or weed.  It appears that Kelly Osbourne possibly felt that rather than a failed attempt at humor, Giuliana's comments about incense and weed was mean spirited toward a particular race.  Ranic later apologized, but Kelly apparently did not accept.

It is rather curious as to why Kelly associated comments about weed & incense to a particular ethnic group.  Not sure that fair minded people would jump to that conclusion.  Do "all" races use incense?  Yes.  Are all races capable of wearing the dreadlock hair style?  Yes.  Do all races use weed?  Yes.  Let's all take a lesson from the Rasta lifestyle and chill out about this issue.

On February 27, 2015 E! said in a statement that Kelly Osbourne was leaving the Fashion Police show to pursue other opportunities.

Patchouli is a species of plant from the genus Pogostemon.  The heavy and strong scent of patchouli has been used for centuries in perfumes and, more recently, in incense, insect repellents, and alternative medicines. Extraction of patchouli's essential oil is by steam distillation of the leaves, requiring rupture of its cell walls by steam scalding, light fermentation, or drying.  Patchouli is an important ingredient in East Asian incense.  Patchouli is an important ingredient in incense.  Both patchouli oil and incense underwent a surge in popularity in the 1960s and 1970s in the US and Europe, mainly as a result of the hippie movement of those decades.

According to some Rastafari,[3] the etymology of the word "cannabis" and similar terms in all the languages of the Near East may be traced to the Hebrew "qaneh bosm" קנה-בשם as one of the herbs that God commanded Moses to include in his preparation of sacred anointing perfume in Exodus 30:23; the Hebrew term also appears in Isaiah 43:24; Jeremiah 6:20; Ezekiel 27:19; and Song of Songs 4:14. Deutero-canonical and canonical references to the patriarchs Adam, Noah, Abraham, and Moses "burning incense before the Lord" are also applied, and many Rastas today refer to cannabis by the term "ishence"—a slightly changed form of the English word incense.

Dreadlocks, also dreads or Jata (Hindi), are matted coils of hair. Most dreadlocks are usually intentionally formed; because of the variety of different hair textures, various methods are used to encourage the formation of locks such as backcombing. Additionally, leaving long hair to its own devices by not brushing or cutting the hair will encourage it to tangle together as it grows, leading to twisted, matted ropes of hair known as dreadlocks. The latter method is typically referred to as the neglect, natural, organic, or freeform method. A common misconception is that those who have dreadlocks do not wash their hair, but this is usually not the case. Many dreadlock care regimens require the wearer to wash their hair up to twice a week.

The Rastafari movement is an Abrahamic religion which developed in Jamaica in the 1930s, following the coronation of Haile Selassie I as King of Ethiopia in 1930. Its adherents worship Haile Selassie I, emperor of Ethiopia (ruled 1930–1974), some as Jesus in his Second Advent, or as God the Father.  Members of the Rastafari way of life are known as Rastas, or the Rastafari.

The Rastafari way of life encompasses the spiritual use of cannabis [1,2].

For Rastas, smoking cannabis, commonly referred to as herb, weed, kaya, sinsemilla (Spanish for 'without seeds'), or ganja (from the Sanskrit word ganjika, used in ancient Nepal and India), is a spiritual act, often accompanied by Bible study; they consider it a sacrament that cleans the body and mind, heals the soul, exalts the consciousness, facilitates peacefulness, brings pleasure, and brings them closer to Jah. They often burn the herb when in need of insight from Jah. Cannabis remains illegal in Jamaica and most of the world and this has caused friction between Rastas and other societies.

The wearing of dreadlocks is very closely associated with the movement, though not universal among, nor exclusive to, its adherents. Rastas maintain that locks are required by Leviticus 21:5 ("They shall not make baldness upon their head, neither shall they shave off the corner of their beard, nor make any cuttings in the flesh.") and the Nazirite law in Numbers 6:5 ("All the days of the vow of his separation there shall no razor come upon his head: until the days be fulfilled, in the which he separateth himself unto the Lord, he shall be holy, and shall let the locks of the hair of his head grow."). The Dreadlocks represents A lion's mane and Yeshua (Jesus) in his Kingly Character.  Rastafari associate dreadlocks with a spiritual journey that one takes in the process of locking their hair (growing hairlocks). It is taught that patience is the key to growing locks, a journey of the mind, soul and spirituality.

Possibly Kelly Osbourne should chill out a bit (I am not suggesting she smoke a little dope).  Arguing, abruptly quitting obligations, creating poor press for a show that Joan River's poured her heart & sole into for many years... Was that necessary?  Possibly yes, but maybe not.
